Terms of Service

The agreement

Last updated 7 October 2026

These terms are between you and Kinetic UG (haftungsbeschränkt), Thundorfer Mühle 11, D-83404 Ainring, Germany (“we”, “us”), and cover Kinetic, the Git client for macOS, its licenses, and this website. By buying a subscription, entering a license key or using Kinetic, you agree to them. If you agree on behalf of a company, you confirm you may bind it, and “you” means the company.

Buying through Paddle

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's buyer terms apply to the purchase itself: payment, taxes, invoices and receipts.

Prices are shown on the pricing section, per license and billed monthly; taxes are added at checkout where they apply. A launch discount, if shown when you buy, applies for as long as that subscription runs.

The subscription

A subscription renews each month until it is cancelled. The person who bought it can cancel it, change the number of seats, update the payment method and download invoices from the team page or through the links in Paddle's emails. A cancellation takes effect at the end of the period already paid for; you keep using Kinetic until then.

If a renewal payment fails, the licenses keep working for a short grace period while Paddle tries again. If it still fails, or the subscription ends, the licenses stop.

Your license

Each seat is a license for one person, who gets their own license key by email. While the subscription is paid, that person may use Kinetic on up to three Macs of their own at a time, and move it to another Mac by deactivating one. The app renews its license with us about once a day and keeps working offline for up to 14 days.

You may not:

  • share a license key with anyone else, or resell or sublicense Kinetic;
  • get around the license checks or the device limit;
  • reverse engineer, decompile or modify the app, except where the law allows it despite this term.

Kinetic is licensed to you, not sold. We and our licensors keep all rights in it that these terms don't give you.

Teams

The person who buys a subscription manages its team: they invite people to its seats, remove them, and free a seat for someone else. They are responsible for the people they invite using Kinetic according to these terms.

Your code

Your repositories stay yours and stay on your Mac. Kinetic doesn't send your code to us. When you connect it to other services — a Git host such as GitHub, GitLab or Bitbucket, Jira, or an AI provider — it talks to them directly on your behalf, and their terms apply to what you do there. You are responsible for the accounts and keys you connect.

Refunds

You can ask for a full refund within 14 days of your first purchase. The details are in our refund policy.

Updates

While your subscription is paid, you get every update we release. We may change, add or remove features. We'll tell you before a change that takes away something essential you've paid for, and you may then cancel.

Warranty

We work hard to keep Kinetic reliable, but it's provided “as is”. Git is powerful, and some operations rewrite history: keep backups and push your work. To the extent the law allows, we give no warranty that Kinetic is free of errors or fit for a particular purpose.

If you are a consumer, you keep all the rights the law of the country you live in gives you, and nothing in these terms limits them.

Liability

We are liable without limit for damage caused intentionally or by gross negligence, for injury to life, body or health, and where the law does not allow a limit. For any other damage, and to the extent the law allows, our total liability is limited to what you paid us in the 12 months before the damage occurred, and we are not liable for lost profits, lost data, or indirect damage.

Ending

You can stop at any time by cancelling your subscription. We may end or suspend a license that is used against these terms, after telling you why where we can. The parts of these terms that by their nature should survive the end — warranty, liability, governing law — do.

Changes

We may update these terms. We'll email the person who manages a subscription at least 30 days before a change that affects them takes effect. If you don't agree, you can cancel before then.

Law and courts

The law of Germany applies, without its conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this doesn't take away the protection of the law of the country you live in. For businesses, the courts competent for Ainring, Germany have jurisdiction.
